1. Acceptance and eligibility

By accessing, browsing, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference.

You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract to use the Site. If you use the Site on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

2. The Site is informational

The Site is an informational and marketing presence for Kerythos AI and its Department-as-a-Service ("DaaS") offering. It describes our products, services, and the network of specialized AI agents we operate.

Nothing on the Site constitutes an offer, a binding quote, professional advice, or a commitment to provide any product or service. Any engagement for Kerythos AI services is governed by a separate written agreement between you and Kerythos AI. If these Terms conflict with such an agreement, the separate agreement controls for the services it covers.

3. Intellectual property

The Site and all of its contents — including text, graphics, logos, the "Kerythos AI" name and marks, the names and visual representations of our agents (such as Kerythos, Kerygma, Ethos, and the wider directing body), illustrations, layouts, and software — are owned by Kerythos AI or its licensors and are protected by United States and international intellectual-property laws.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, and revocable license to access and view the Site for your own informational, non-commercial purposes.

Without our prior written permission, you may not:

• copy, reproduce, republish, or distribute any part of the Site;
• use any of our trademarks, logos, or brand features;
• modify, reverse-engineer, or create derivative works from the Site or its content;
• frame or mirror the Site, or run scraping, data-mining, or automated-extraction tools against it.

4. Acceptable use

You agree to use the Site only for lawful purposes. You agree not to:

• use the Site in any way that violates applicable law or regulation;
• attempt to gain unauthorized access to the Site, its servers, or any connected systems;
• interfere with or disrupt the integrity or performance of the Site;
• introduce malware, viruses, or any other harmful code;
• use the Site to transmit unsolicited advertising or to harvest contact information.

5. Communications and SMS terms

The Site provides a contact and waitlist form. When you submit it, your details are sent to our email and SMS marketing provider (Mailchimp, an Intuit company) so that we can respond to you and, if you opt in, contact you. The static Site itself does not run a backend that stores this data. See our Privacy Policy for details.

By contacting us, you consent to receive replies and follow-up communications from us through the channels you provide, in connection with your inquiry. You are responsible for the accuracy of the information you submit and for ensuring you have the right to share it.

Please do not send confidential or sensitive personal information through the contact form. Any non-personal feedback, ideas, or suggestions you send us may be used by us without restriction or obligation to you.

SMS and text messaging

By opting in to our SMS text messaging program, for example by checking the SMS consent box when you submit a form on the Site or when you register within the products and services we offer, you agree to receive text messages from Kerythos AI. Depending on the program, these may include waitlist and early-access updates, account and service notifications, customer-care responses, and marketing or promotional messages.

Consent is not a condition of any purchase. Message frequency varies, and message and data rates may apply. Reply STOP to any message to cancel, or HELP for help. We handle the phone numbers and consent you provide in accordance with our Privacy Policy, and we do not sell or share them with third parties for their own marketing. Mobile carriers are not liable for delayed or undelivered messages.

6. Third-party links

The Site may link to third-party websites or services — for example, our social-media profiles — that we do not own or control. We are not responsible for the content, policies, or practices of any third party. Following such links is at your own risk and subject to that third party's own terms.

7. Disclaimers

The Site and all content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, secure, error-free, or free of harmful components, or that any information on it is accurate, complete, or current. Any reliance you place on the Site's content is at your own risk.

8. Limitation of liability

To the fullest extent permitted by law, Kerythos AI, its affiliates, and their respective officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Site, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless Kerythos AI and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Site or your violation of these Terms, of any law, or of the rights of a third party.

10. Changes to these Terms

We may modify the Site or these Terms at any time. When we update these Terms, we will revise the "Effective date" shown above. Changes take effect when posted, and your continued use of the Site afterward constitutes acceptance of the revised Terms.

11. Governing law and jurisdiction

These Terms, and any dispute arising out of or relating to them or the Site, are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules.

You agree that the state and federal courts located in California have exclusive jurisdiction over any such dispute, and you consent to personal jurisdiction and venue there.

12. General

If any provision of these Terms is held unenforceable, the remaining provisions will stay in full force. Our failure to enforce any right or provision is not a waiver of it. These Terms, together with the Privacy Policy and any separate written agreement for our services, are the entire agreement between you and us regarding the Site.

Intellectual-property complaints (notice and takedown)

We respect intellectual-property rights and ask that you do the same. If you believe that content on the Site infringes a copyright, trademark, or other right that you own or control, please notify us promptly at templar@kerythos.ai and include: a description of the right or work concerned, the location (URL) of the material on the Site, your contact details, and a statement that you believe in good faith that the use is not authorized. On receipt of a complete notice, we will review it and, where appropriate, promptly remove or disable access to the material. We ask that you give us a reasonable opportunity to resolve the matter through this process before pursuing other action; this request does not limit any rights or remedies available to you under applicable law.

Notice and opportunity to cure

Before starting any claim, action, or proceeding arising out of or relating to these Terms or your use of the Site, you agree to first notify us in writing at templar@kerythos.ai and to allow thirty (30) days from that notice for us to investigate and, where appropriate, resolve the matter in good faith. This step does not apply where it would cause a claim to become time-barred, and it does not prevent either party from seeking urgent injunctive or equitable relief.
